Acceptance of Terms

By accessing or using IntakeTh.is ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Service.

Description of Service

IntakeTh.is is a client intake management platform that enables agencies, freelancers, consultants, and designers to collect information from their clients. Collect everything you need to start a project — questions, files, logins, links — in one simple form. Send a link, get it all back.

Account Registration

• • You must provide accurate, current, and complete information during registration
• • You must maintain and promptly update your account information
• • You are responsible for safeguarding your account credentials
• • You must notify us immediately of any unauthorized access to your account
• • You are responsible for all activities that occur under your account
• • You must be at least 18 years old to create an account
• • One person or entity may not maintain more than one free account

Subscription Plans and Payment

IntakeTh.is offers three subscription plans: Starter ($29/month), Pro ($79/month), and Premium ($149/month). Save 17% by paying annually. All fees are quoted in U.S. dollars.

• • Payment is processed securely through Stripe
• • You authorize us to charge your payment method for recurring fees
• • Prices may change with 30 days advance notice
• • Failure to pay may result in suspension or termination of your account
• • You are responsible for any applicable taxes

Active Client Limits

Each plan includes a limit on active clients. An active client is a client with at least one active project or intake. Archived clients don't count toward your limit. Starter allows up to 5 active clients, Pro allows up to 25 active clients, and Premium allows unlimited active clients.

30-Day Money-Back Guarantee

If IntakeTh.is isn't a fit, cancel within 30 days for a full refund. To request a refund, contact support@intaketh.is with your account email. Refunds are processed within 5-10 business days to your original payment method.

Cancellation

You may cancel your subscription at any time from your account settings. Upon cancellation: (1) You will retain access to paid features until the end of your current billing period. (2) Your account will not be charged for subsequent periods. (3) After the billing period ends, your account will be downgraded and you may lose access to premium features. (4) Your data will be retained unless you request deletion.

Upgrades and Downgrades

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and you will be charged a prorated amount for the remainder of your billing period. Downgrades take effect at the start of your next billing cycle.

Acceptable Use

You agree not to use the Service to:

• • Violate any applicable law, regulation, or third-party rights
• • Collect or store sensitive personal data (SSN, financial accounts, health records) without appropriate safeguards and consent
• • Upload malicious code, viruses, or harmful files
• • Attempt to gain unauthorized access to other accounts or our systems
• • Interfere with or disrupt the Service or servers
• • Use the Service for spam, phishing, or fraudulent purposes
• • Resell, sublicense, or redistribute the Service without permission
• • Scrape, crawl, or index the Service without permission
• • Circumvent any access controls or usage limits

Your Content

You retain all ownership rights to content you upload to IntakeTh.is ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, copy, process, and display Your Content solely to provide and improve the Service. This license ends when you delete Your Content or your account. We do not claim ownership of Your Content and will not use it for purposes unrelated to providing the Service.

Client Data and Responsibility

When you collect information from your clients through IntakeTh.is, you act as the data controller. You are solely responsible for: (1) obtaining appropriate consent from your clients, (2) providing required privacy notices to your clients, (3) responding to client requests regarding their data, (4) ensuring your use complies with applicable privacy laws, and (5) the accuracy and legality of client data you collect. We process client data as your data processor solely to provide the Service.

Intellectual Property

The Service, including its design, features, code, graphics, and documentation, is owned by IntakeTh.is and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service. You may not reverse engineer or attempt to extract source code. The IntakeTh.is name, logo, and product names are our trademarks. You may not use them without prior written consent.

Confidentiality

We will treat your account information and uploaded content as confidential. We will not access your content except: (1) to provide the Service, (2) to respond to support requests, (3) to investigate security incidents or violations of these Terms, or (4) as required by law. Our employees and contractors are bound by confidentiality obligations.

Service Availability and Support

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice when possible. We provide support via email. Pro and Premium plans receive priority support. We are not liable for any downtime, delays, or service interruptions.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTAKETH.IS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY.

Indemnification

You agree to indemnify, defend, and hold harmless IntakeTh.is, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (1) your use of the Service, (2) your violation of these Terms, (3) your violation of any third-party rights, (4) Your Content, or (5) your collection and handling of client data. We will notify you of any such claim and cooperate in the defense at your expense.

Dispute Resolution

Any dispute arising from these Terms or the Service shall first be addressed through good-faith negotiation. If unresolved within 30 days, either party may initiate binding arbitration administered by JAMS under its Streamlined Arbitration Rules. The arbitration will be conducted in English, in San Francisco, California (or remotely by mutual agreement). The arbitrator's decision shall be final and binding. Each party shall bear its own costs, and arbitration fees shall be shared equally. You agree to arbitrate on an individual basis only; class actions and class arbitrations are not permitted.

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. For any disputes not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in San Francisco, California.

Termination

We may suspend or terminate your account at any time for: (1) violation of these Terms, (2) non-payment, (3) fraudulent or illegal activity, (4) extended inactivity, or (5) at our discretion with reasonable notice. Upon termination: (1) your right to use the Service ceases immediately, (2) we may delete your data after a reasonable retention period, (3) provisions that should survive termination will remain in effect (including Limitation of Liability, Indemnification, and Dispute Resolution).

Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, labor disputes, internet or infrastructure failures, or pandemics. The affected party shall notify the other party and use reasonable efforts to mitigate the impact.

Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through a prominent notice on our website at least 30 days before changes take effect. Your continued use of the Service after the effective date constitutes acceptance. If you do not agree to modified Terms, you must stop using the Service and may cancel your subscription.

Modifications to Service

We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice of material changes. If we discontinue the Service entirely, you will receive a pro-rata refund of prepaid fees.

Entire Agreement

These Terms, together with our Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and IntakeTh.is regarding the Service. These Terms supersede any prior agreements or communications. If any provision is found unenforceable, the remaining provisions will continue in effect.
